Salesforce buys Braze for $5.66B: 26% growth, 6% opex increase
Salesforce announced it is buying Braze for roughly $5.66 billion in enterprise value, paying Class A shareholders $47.50 per share in cash. That is a 58% premium to the $30.04 closing price six weeks earlier, when Braze beat consensus revenue by $6.9 million, raised guidance, and the stock dropped 25%.
The gap between those two prices tells the story. Public B2B companies growing in the mid-20s are being priced as pre-AI apps at risk of disruption. Strategic buyers price the same companies on their distribution, their data, and thousands of enterprise relationships that would take years to build. Braze's board had a 58% gap between those two prices and sold.
The numbers that matter
Braze reported $227.2 million in quarterly revenue in September, up 26% year over year. Operating expenses rose 6% to $170 million. That 20-point gap between revenue growth and opex growth takes deliberate hiring restraint, plus AI taking on work people used to do.
Free cash flow hit a quarterly record of $21.7 million. Non-GAAP operating margin improved more than 600 basis points year over year. A $5.66 billion all-cash acquirer wants a target that generates cash, and Braze got there right before the sale.
Salesforce plans to plug Braze into Marketing Cloud to strengthen real-time mobile and in-app engagement, areas where Marketing Cloud has been weak. Braze's roughly 2,770 customers include Canva, Instacart, Venmo, and Equinox: consumer apps Salesforce has not won on its own.
What this means for sales teams
Braze pushed upmarket while NRR settled at 110%. Customers paying $500,000 plus per year grew 28% to 361 accounts. Total customers grew about 15%. When net retention lands around 110%, the math says you focus your best reps on accounts that can reach $500K ARR.
Professional services revenue more than doubled to $19.6 million in one year, up from $8.3 million. AI decisioning and agent deployments need hands-on setup to connect customer data and tune results. Braze charges for that work separately. That is a comp decision: charge for implementation as services, or absorb it into onboarding and protect subscription gross margin.
Paid adoption of Braze AI reached roughly one third of large customers within a few quarters. Investors called it early because it did not change the overall growth rate. In 2026, investors want AI to create new budget, visible as faster growth or larger deals. An attach rate among existing customers did not get credit for that.
The acquisition is the largest of a long run of Salesforce deals in 2026. This year it has announced acquisitions of Contentful, m3ter, Fin, Listen Labs, and Loops. The transaction is expected to close in Salesforce's fiscal 2028, subject to shareholder and regulatory approvals.
