The Deal Structure
Salesforce acquired Fin (formerly Intercom) for $3.6B on June 15, marking Ireland's largest tech exit. The headline number: $400M+ ARR at 9x revenue. The actual story: Salesforce paid a blended multiple on two very different businesses.
Fin's AI agent line hit $100M ARR growing 350% YoY. That is roughly a quarter of total revenue and virtually all net new growth. The other $300M? Legacy Intercom messaging and support, close to flat. Strip out the legacy business and Salesforce paid 30x+ for the AI line, which is market rate for that growth profile.
What They Actually Bought
Data. Fin resolves 2M+ conversations weekly across 8,000 customers on the AI agent, inside 30,000+ total customers. That is proprietary customer interaction data flowing through Apex, Fin's post-trained model that beats OpenAI and Anthropic on resolution rates (76% vs 62% for Salesforce's own Agentforce).
Salesforce has Agentforce at $1.2B ARR growing 205%. They still chose to buy rather than build. That tells you how hard it is to replicate domain-specific training data at scale.
The Comp Angle
Fin turned over 40% of staff during its 2022-2023 pivot to AI. That is not a restructure, that is rebuilding the entire go-to-market motion. Outcome-based pricing on the AI agent pushed net revenue retention from 112% to 146%. For AEs and AMs, that shift from seat-based to consumption pricing changed how comp gets structured and how quota gets set.
Salesforce's acquisition spree (fifth deal in 2026, third in June) suggests aggressive headcount expansion is coming. The Fin team stays in place with $150M in retention RSUs structured into the deal.
The Pattern
This is one of three $3B+ B2B acquisitions in 30 days. Autodesk bought MaintainX for $3.6B (26x forward ARR). Schneider Electric bought Cognite for $3.1B. Different categories, same thesis: legacy platforms paying premiums for proprietary data that makes AI work in their domain.
For ANZ enterprise sales teams, the takeaway: if your platform has unique workflow data, that is now your most valuable asset. The multiple tracks the data moat, not the revenue line.
ANZ Context
Fin's ANZ presence is limited but growing. As part of Salesforce's portfolio, expect localised enterprise expansion with dedicated ANZ sales support. For sales professionals, this validates the AI agent category and shows where enterprise budgets are moving: away from seat-based support tools, toward outcome-based AI that handles volume at scale.
